Terms of Use

These Terms of Use govern your access to and use of Terva Systems websites, Terva Key hardware, the Terva workspace, and related software, services, features, integrations, and purchases.

1. Agreement to these Terms

By accessing or using a Terva Systems product or service, you agree to these Terms of Use and any additional terms presented to you for a specific product, purchase, integration, or feature.

2. Eligibility

You must be legally capable of entering into a binding agreement to use Terva. If you are not the age of majority where you live, a parent or legal guardian must authorize your use where required by applicable law.

3. Terva Systems and Terva Key

Terva Systems provides software, services, and hardware designed to help users organize information, manage workflows, access connected services, and interact with a personal Terva workspace. Terva Key is a physical access product used with supported Terva software and services.

4. Accounts and authentication

You are responsible for maintaining control of your account credentials, Terva Key, connected accounts, and devices. You must promptly notify Terva Systems if you believe your account or Terva Key has been compromised or used without authorization.

5. Connected third-party services

Terva may connect to third-party services such as email, calendar, file, productivity, or financial-data providers. Your use of those third-party services remains subject to their own terms, policies, availability, and technical requirements.

Terva Systems is not responsible for changes, outages, limitations, or actions of third-party services that are outside Terva Systems' control.

6. AI-assisted features

Terva may provide AI-assisted summaries, classifications, recommendations, draft messages, search results, explanations, or other automated output. AI-generated output may be incomplete, inaccurate, or inappropriate for a particular situation.

You are responsible for reviewing important output before relying on it, sending communications, making financial decisions, taking business action, or making other consequential decisions.

7. Acceptable use

You may not use Terva to:

  • Violate applicable law or another person's rights.
  • Gain unauthorized access to accounts, devices, systems, or information.
  • Bypass or interfere with authentication, security, or access controls.
  • Distribute malware, harmful code, spam, or abusive content.
  • Interfere with the operation, availability, or security of Terva or a connected service.
  • Use Terva in a manner that is fraudulent, deceptive, or intentionally harmful.

8. Purchases and payment

Prices, taxes, shipping charges, subscription charges, and other purchase terms will be disclosed at or before checkout. You authorize Terva Systems and its payment providers to charge the payment method you provide for amounts you agree to pay.

9. Shipping, returns, refunds, and warranties

Physical Terva products may be subject to shipping, return, refund, replacement, and warranty terms presented at the time of purchase or in a separate policy made available with the applicable product. Those product-specific terms form part of your agreement with Terva Systems.

10. Subscriptions and recurring services

If Terva offers a paid subscription or recurring service, the applicable price, billing frequency, renewal terms, cancellation method, and any trial terms will be disclosed before you subscribe. Unless otherwise stated, cancellation stops future renewal but does not automatically refund charges already incurred.

11. Intellectual property

Terva Systems, Terva Key, Terva software, interfaces, branding, logos, graphics, product designs, documentation, and other original materials are owned by Terva Systems or its licensors and are protected by applicable intellectual-property laws.

Except as expressly permitted by law or written authorization from Terva Systems, you may not copy, reproduce, sell, license, distribute, reverse engineer, or create derivative works from protected Terva materials.

12. Feedback

If you voluntarily provide product ideas, suggestions, or feedback, you grant Terva Systems permission to use that feedback to develop, improve, or operate Terva products and services without an obligation to compensate you.

13. Service changes and availability

Terva Systems may add, modify, replace, suspend, or discontinue features, integrations, hardware, or services. We do not guarantee that every feature, integration, or third-party connection will remain available indefinitely.

14. Security and key removal

Terva Key is designed to form part of Terva's access-control model. Certain Terva sessions may lock, terminate, or restrict access when the connected Terva Key is removed or when another security condition occurs. You are responsible for safely maintaining possession of your Terva Key and associated credentials.

15. Disclaimers

To the fullest extent permitted by law, Terva products and services are provided on an "as available" basis. Terva Systems does not guarantee uninterrupted service, error-free operation, perfect accuracy of AI-generated output, or uninterrupted availability of third-party integrations.

16. Limitation of liability

To the fullest extent permitted by applicable law, Terva Systems will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, business opportunity, or goodwill arising from or related to your use of Terva.

Where liability cannot legally be excluded, Terva Systems' liability will be limited to the maximum extent permitted by applicable law.

17. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Terva Systems from claims, damages, liabilities, and expenses arising from your misuse of Terva, violation of these Terms, or violation of another person's rights.

18. Suspension and termination

Terva Systems may suspend or terminate access when reasonably necessary to protect users, systems, third parties, legal compliance, or the integrity of the service, including in response to misuse or a material violation of these Terms.

19. Governing law

These Terms are governed by the laws of the State of Texas and applicable federal law, without regard to conflict-of-law principles, except where applicable law requires otherwise.

20. Changes to these Terms

We may update these Terms as Terva evolves or as legal, technical, or operational requirements change. When we update them, we will revise the effective date shown at the top of this page.
